Wholesale Terms & Conditions
Effective date: 30 July 2026
These Wholesale Terms & Conditions apply to wholesale orders placed directly through the ROOME Wholesale website or otherwise placed directly with ROOME.
ROOME is an Australian business operating under ABN 74275904609. In these terms, “ROOME”, “we”, “us” and “our” refer to that business.
Orders placed through a third-party marketplace, including Faire, may also be subject to that marketplace’s terms. Where there is an inconsistency, the marketplace terms will apply to the extent required for an order placed through that marketplace.
1. Acceptance of these terms
By placing an order, you confirm that:
- you are purchasing for business or commercial resale purposes;
- you are authorised to place the order and bind the business identified in it;
- the information provided with the order is complete and accurate; and
- you have read and accepted these Wholesale Terms & Conditions.
2. Order acceptance
Submitting an order is an offer to purchase the products listed in the order.
An order becomes binding when ROOME sends written confirmation that the order has been accepted. We may contact you before acceptance to clarify quantities, product availability, delivery information, pricing or other order details.
ROOME may decline an order before acceptance for a reasonable commercial, legal, safety, availability or payment-related reason. If payment has already been taken for an order that is not accepted, it will be refunded promptly to the original payment method.
3. Launch pre-orders and production funding
The initial ROOME wholesale range is offered on a pre-order basis. Products may not have been manufactured or be available for immediate dispatch when an order is placed.
Pre-order payments may be applied in the ordinary course of the launch toward costs including:
- manufacturing deposits and production;
- wax, fragrance oils, vessels and wicks;
- packaging, labels and testers;
- freight, storage and fulfilment;
- product testing and quality assurance; and
- other reasonable costs directly associated with producing and supplying the range.
Pre-order payments are not held in escrow or on trust unless ROOME expressly agrees otherwise in writing.
The initial production run may depend on ROOME obtaining sufficient aggregate orders, satisfying supplier minimums and finalising commercially workable manufacturing arrangements.
ROOME intends to confirm whether the initial production run will proceed by 31 August 2026. If ROOME determines that an affected product or the production run cannot reasonably proceed, ROOME will notify affected stockists and refund the amount paid for the affected unfulfilled goods within 10 business days.
4. Estimated production and dispatch
The first wholesale production run is currently estimated to begin dispatching progressively from October 2026.
This is an estimate, not a guaranteed delivery date. Orders may dispatch at different times depending on order size, production sequencing, packaging availability, freight arrangements and the date on which the order was placed.
ROOME will use reasonable care in preparing production and dispatch estimates and will provide meaningful updates if a material delay becomes known.
If an order has not been dispatched within 60 days after the latest estimated dispatch date given to the stockist in writing, the stockist may:
- accept a revised estimated dispatch date; or
- cancel the affected unfulfilled items and receive a full refund for those items.
5. Opening minimums and quantities
The minimum opening wholesale order is $250 AUD, excluding freight, unless a different amount has been expressly agreed in writing.
Per-product minimum quantities, case quantities and ordering increments are shown on the relevant product page and form part of the order.
ROOME may approve a different minimum or quantity arrangement for an individual stockist in writing. That approval does not automatically apply to future orders.
6. Prices and GST
All prices are stated in Australian dollars.
Prices include GST only where expressly stated and where GST is legally applicable. Any applicable GST will be shown on the order confirmation or invoice.
ROOME may change prices for future orders. A price change will not retrospectively alter an already accepted order unless both parties agree in writing.
7. Recommended retail prices
Any recommended retail price supplied by ROOME is a recommendation only.
Each stockist remains responsible for independently setting its own retail prices, promotions and discounts. Nothing in these terms requires a stockist to sell or advertise ROOME products at or above a particular minimum retail price.
8. Errors in pricing or product information
ROOME takes reasonable care to ensure that prices, product descriptions, quantities and images are accurate.
If an obvious pricing, calculation, technical or product-information error is identified before an order is accepted, ROOME may correct the error and invite the stockist to confirm the revised order.
If a material error is identified after acceptance, ROOME will contact the stockist promptly and offer a reasonable solution, which may include:
- proceeding with the corrected information by agreement;
- supplying an agreed alternative; or
- cancelling and refunding the affected item.
ROOME will not substitute a materially different product without the stockist’s agreement.
9. Payment
Full payment is required at checkout unless ROOME has approved alternative payment terms in writing.
An order may be placed on hold if:
- payment is declined, reversed or incomplete;
- required verification information is not provided;
- a separately invoiced freight amount remains unpaid; or
- ROOME reasonably suspects fraud or unauthorised payment activity.
If there is a genuine payment dispute, the parties should first attempt to resolve it directly. ROOME may recover reasonable third-party costs actually incurred because of a wrongful or unauthorised chargeback, but will not impose an arbitrary penalty.
10. Freight
Freight is not included in the product total unless expressly stated.
Freight will be calculated separately and invoiced before dispatch. The freight invoice may include reasonable carrier, insurance and handling charges that are clearly identified.
Stockists may request a freight estimate before placing an order. Final freight may vary because of final carton dimensions, order weight, destination, carrier rates, insurance requirements and delivery conditions.
Orders will not be dispatched until the applicable freight invoice has been paid, unless otherwise agreed in writing.
If ROOME previously provided a written freight estimate and the final freight amount is materially higher, ROOME will discuss the difference with the stockist and attempt to agree on an alternative carrier, collection arrangement or other reasonable solution.
11. Delivery information and access
The stockist is responsible for providing a complete and accurate delivery address, contact details and any relevant access information.
The stockist must notify ROOME promptly if:
- the address is unattended;
- the premises have restricted delivery hours;
- there is no safe unloading area;
- a tail-lift or special handling is required; or
- the carrier will need an authority to leave.
Additional carrier costs caused by incorrect information, failed delivery, redirection, storage or re-delivery may be charged to the stockist where those costs were reasonably incurred.
12. Ownership and risk
Ownership of goods passes to the stockist when all amounts payable for those goods, including agreed freight, have been paid.
Risk of loss or damage passes when the goods are delivered to the nominated delivery address.
Where the stockist independently appoints its own carrier or collects the goods, risk passes when the goods are handed to that carrier or collected.
13. Order changes and cancellations
Please contact ROOME as soon as possible to request an order change or cancellation.
Before ROOME commits non-refundable production or supplier costs to the order, we will generally permit cancellation and provide a refund, less any reasonable third-party fees that have already been incurred and cannot be recovered.
After production, allocation or other non-refundable commitments have commenced, change-of-mind cancellation may not be possible.
If ROOME agrees to a cancellation after costs have been committed, any amount retained will be limited to ROOME’s reasonable actual loss and non-recoverable costs. Any remaining balance will be refunded.
Nothing in this clause limits a right to cancel or receive a remedy that cannot legally be excluded.
14. Product availability
Product availability may be affected by raw-material shortages, supplier minimums, production failures, packaging delays or quality-control outcomes.
If an ordered product becomes unavailable, ROOME will offer an appropriate solution, which may include:
- waiting for the product to become available;
- selecting an agreed replacement;
- removing and refunding the unavailable item; or
- cancelling the affected portion of the order.
15. Hand-poured and small-batch variations
ROOME candles are hand-poured in small batches.
Minor variations may occur between products and production batches, including variations in:
- wax appearance;
- frosting or minor surface marks;
- colour or translucency;
- label placement;
- fragrance appearance;
- vessel finish; and
- packaging texture or printed colour.
Minor variations that do not materially affect safety, function or saleability are not ordinarily considered faults.
Product images are intended to represent products accurately, although colours may appear differently under different lighting and on different screens.
16. Product weight
Any stated candle weight refers to the intended net weight of the candle contents and does not include the vessel, lid, label or packaging.
Small production tolerances may occur only to the extent permitted under applicable trade-measurement laws.
17. Testers
Tester candles are full-size, unboxed candles identified with a ROOME tester label.
Testers are intended for in-store fragrance display and customer sampling. They:
- must not be sold as retail products;
- must not be represented as including retail packaging;
- must not have their tester or safety labels removed;
- must not be relabelled or represented as another product; and
- must be handled and displayed in accordance with all applicable candle-safety instructions.
Where a stockist pack states that complimentary testers are included, the tester quantity and fragrances will be as described on the applicable product page or order confirmation.
Complimentary testers have no separate cash value and are not included in the stated quantity of boxed retail candles.
18. Inspection and order discrepancies
Stockists should inspect delivered goods promptly.
Visible freight damage, missing cartons, incorrect goods or quantity discrepancies should, where practical, be reported within five business days of delivery.
A report should include:
- the order number;
- the affected product and quantity;
- photographs of the product, carton and shipping label where relevant; and
- a description of the issue.
Failure to report within five business days will not automatically extinguish a claim where the problem was not reasonably discoverable during that period.
Latent defects should be reported promptly after discovery.
19. Returns and remedies
ROOME does not ordinarily accept wholesale returns for:
- change of mind;
- over-ordering;
- slow sales or unsold stock;
- a retailer’s change in business circumstances; or
- minor acceptable small-batch variations.
Where goods are materially damaged, defective, unsafe, incorrectly supplied or materially different from what was agreed, ROOME will investigate and provide an appropriate remedy. Depending on the circumstances, that may include replacement, credit, repair or refund.
The products are ordinarily acquired for resale. Consumer guarantees under the Australian Consumer Law may therefore not apply in the same way that they apply to goods acquired for personal or business use rather than resupply.
Nothing in these terms excludes, restricts or modifies any right, guarantee, remedy or liability that cannot lawfully be excluded.
20. Candle safety and stockist responsibilities
The stockist must:
- store candles upright in a cool, dry location away from excessive heat, moisture and direct sunlight;
- keep products and packaging away from ignition sources before sale;
- retain all product, batch and safety labels;
- provide customers with the applicable candle-care and safety information;
- not sell a product that appears damaged, cracked, contaminated or unsafe;
- not alter the wax, wick, vessel, label or packaging;
- not make unsupported safety, therapeutic, environmental or performance claims; and
- comply with all laws applying to its own advertising, display and resale activities.
If a candle is used or burned as an in-store tester, it must be supervised and used strictly in accordance with the supplied safety instructions.
21. Product-safety incidents and complaints
The stockist must notify ROOME as soon as possible—and preferably within 24 hours—if it becomes aware of:
- a fire, injury, illness or property damage involving a ROOME product;
- a vessel cracking, shattering or becoming dangerously hot;
- an uncontrolled or unusually large flame;
- wax ignition;
- a repeated safety-related complaint; or
- another circumstance suggesting that a product may be unsafe.
The stockist should preserve the affected product, packaging, batch information, photographs and relevant customer communications wherever reasonably possible.
Nothing in this clause transfers or reduces ROOME’s own legal product-safety and reporting obligations.
22. Product recalls and corrective action
If ROOME reasonably believes that a product may be unsafe, defective or subject to corrective action, the stockist must reasonably cooperate with ROOME.
This may include:
- immediately suspending sale of affected stock;
- quarantining and counting affected units;
- identifying the relevant batch;
- displaying or sending an approved safety notice;
- assisting with customer contact where legally permitted; and
- returning, destroying, relabelling or otherwise dealing with affected goods as directed.
ROOME will communicate the applicable remedy and reasonable process for affected stock.
23. Brand assets and intellectual property
ROOME’s names, logos, packaging, photography, product copy, artwork and other brand materials remain the property of ROOME or the relevant rights holder.
Stockists may use approved ROOME brand assets solely to advertise and sell genuine ROOME products.
Stockists must not, without written approval:
- materially alter approved brand assets;
- remove or replace ROOME branding;
- create packaging that could be mistaken for official ROOME packaging;
- register or use a domain, social-media account or business name incorporating ROOME;
- imply that they own, operate or officially represent ROOME; or
- use ROOME materials in a misleading, unlawful or damaging manner.
24. Sales channels and marketplaces
Unless otherwise agreed, stockists may sell genuine ROOME products through their nominated physical store, their own business website and their own business social-media channels.
Sale through third-party marketplaces, discount platforms, auction sites or other unauthorised channels requires ROOME’s prior written approval.
This clause does not require a stockist to maintain a minimum resale price.
25. Exclusivity
A wholesale order does not automatically create territorial, suburb, postcode or radius exclusivity.
Any exclusivity arrangement must be agreed separately in writing and should identify:
- the named stockist and approved premises;
- the geographical area or radius;
- whether it applies only to physical stockists or also to online sales;
- the commencement date and duration;
- any review date;
- any agreed conditions; and
- the circumstances in which exclusivity may end.
Where a separate written exclusivity agreement conflicts with these general terms, the specific exclusivity agreement will prevail for that issue.
26. Confidential information
Non-public wholesale pricing, unreleased product information, supplier information and confidential commercial materials provided by ROOME must not be disclosed publicly or used for a purpose unrelated to stocking ROOME.
This does not apply to information that is already public, independently developed or required to be disclosed by law.
27. Liability
Nothing in these terms excludes liability that cannot legally be excluded.
To the extent permitted by law:
- neither party is liable to the other for indirect or consequential loss that was not reasonably foreseeable when the order was accepted;
- each party must take reasonable steps to minimise loss;
- ROOME’s liability relating to an affected product will generally be limited to the amount paid for that affected product; and
- ROOME is not responsible for loss caused by the stockist’s unauthorised alteration, relabelling, unsafe storage, unlawful advertising, misuse or failure to follow a recall or safety direction.
A liability limitation will not apply to the extent that loss results from fraud, wilful misconduct, gross negligence, personal injury or death, or another matter for which liability cannot legally be limited.
28. Events outside reasonable control
Neither party will be responsible for delay caused by an event genuinely outside its reasonable control, including severe weather, natural disaster, fire, transport disruption, industrial action, government restriction, utility failure, supplier failure or material shortage.
The affected party must:
- notify the other party promptly;
- take reasonable steps to reduce the effect of the event; and
- resume performance as soon as reasonably possible.
If the event prevents fulfilment for more than 60 days, either party may cancel the affected unfulfilled portion of the order. ROOME will refund amounts paid for goods that will not be supplied.
29. Privacy and communications
ROOME may collect and use contact, order, payment and delivery information to process orders, provide customer service, prevent fraud, comply with legal obligations and communicate important order or product-safety information.
Personal information will be handled in accordance with ROOME’s Privacy Policy and applicable privacy laws.
Operational, safety and order-related communications are not marketing messages and may still be sent where reasonably necessary to administer the wholesale relationship.
30. Resolving disputes
If a dispute arises, the parties should first attempt to resolve it through direct good-faith discussion.
A party raising a dispute should provide reasonable details of:
- the issue;
- the affected order;
- the outcome sought; and
- any relevant supporting material.
If the dispute is not resolved within 15 business days, either party may propose mediation through an agreed independent mediator before commencing court proceedings.
This clause does not prevent either party from seeking urgent interlocutory relief, pursuing an undisputed debt or exercising a right that cannot legally be restricted.
31. Governing law
These terms and direct ROOME wholesale orders are governed by the laws of Queensland, Australia.
The parties submit to the courts and tribunals that have jurisdiction in Queensland, subject to any mandatory law that provides otherwise.
32. Order of precedence
If documents relating to an order are inconsistent, the following order of precedence applies:
- a specific written agreement signed or expressly accepted by both parties;
- the accepted order confirmation or invoice;
- the relevant product-page terms;
- these Wholesale Terms & Conditions.
33. Entire agreement
The accepted order and the documents listed above form the entire agreement concerning that order.
A representation or promise not recorded in those documents will not form part of the agreement unless both parties later confirm it in writing.
34. Severability and waiver
If a provision is invalid or unenforceable, it will be read down to the minimum extent necessary or severed, without affecting the remaining provisions.
A failure or delay in enforcing a right does not waive that right.
35. Updates to these terms
ROOME may update these terms for future orders.
The version applying to an order will be the version presented or linked when the order was placed. A later update will not retrospectively alter an accepted order unless both parties agree.
